By accessing or using our website at multimodal-technologies.com (the "Site"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site. We may update these Terms from time to time as described in §11.
The Site is a marketing and information resource for our AI agent system services. The Site is not a transactional platform — paid services are provided only under a signed services agreement. Nothing on the Site constitutes an offer to contract; any quote or proposal becomes binding only upon execution of a written agreement and statement of work between us and a client.
The Site does not offer user accounts, logins, or user-generated content features. If you submit a contact form, see §6 (Submissions) below.
When using the Site, you agree not to:
(a) attempt to gain unauthorized access to any part of the Site, any of our systems, or any account or data;
(b) interfere with or disrupt the Site, our hosting infrastructure, or the experience of other users;
(c) probe, scan, or test the Site's vulnerability without our prior written permission (good-faith vulnerability reporting to [email protected] is welcome and exempt from this prohibition);
(d) use the Site to transmit material that is unlawful, infringes intellectual property, contains malware, or violates the privacy or rights of others;
(e) scrape, crawl, or harvest content from the Site at a rate that materially degrades the Site for other users, or in a manner that misrepresents the source of the content;
(f) use any automated system (other than standard search-engine crawlers obeying robots.txt) to access the Site without our prior written permission.
(a) Our content. All content on the Site — including text, graphics, logos, layouts, and documentation — is the property of Multimodal Technologies or our licensors and is protected by copyright, trademark, and other intellectual-property laws. You may view and print pages from the Site for your personal, non-commercial use, and you may quote short excerpts with attribution. Any other use requires our written permission.
(b) Trademarks. "Multimodal Technologies" and our logos are our trademarks. You may not use them without our written permission.
(c) Feedback. If you send us suggestions, ideas, or feedback about the Site or our services, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use that feedback for any purpose without obligation to you.
If you contact us through the Site (e.g. via the contact form or follow-up questionnaire), you confirm that the information you provide is accurate and that you have the right to provide it. Your submission is handled per our Privacy Policy.
The Site may contain links to third-party websites for convenience. We do not control or endorse those websites and are not responsible for their content or practices. Your use of any third-party website is governed by that website's own terms.
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components. We do not warrant that information on the Site is current, complete, or accurate at any given time. Statements on the Site about our services are general and may be superseded by an executed agreement and statement of work.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MULTIMODAL TECHNOLOGIES, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).
THIS LIMITATION DOES NOT APPLY TO LIABILITIES THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
You agree to defend, indemnify, and hold harmless Multimodal Technologies and its members, managers, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Site in violation of these Terms; (ii) your violation of applicable law; or (iii) your violation of any third-party right.
We may revise these Terms from time to time. The "Effective date" at the top reflects the most recent revision. We will post material changes on the Site at least 14 days before they take effect. Continued use of the Site after the effective date of a revision constitutes acceptance of the revised Terms.
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including §5 (IP), §6 (Submissions), §8 (Disclaimers), §9 (Limitation of Liability), §10 (Indemnification), §13 (Governing Law), and §14 (Dispute Resolution) — survive.
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. The exclusive venue for any action arising out of or related to these Terms or the Site is the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.
Before filing any claim, the parties agree to attempt in good faith to resolve the dispute by written notice and a 30-day meet-and-confer period. If that fails, claims may be brought in the venue described in §13.
We do not require binding arbitration for use of the Site. Paid clients are governed by the dispute-resolution clause in their executed services agreement.
(a) Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Site.
(b) No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
(c) Severability. If any provision is found unenforceable, the rest remains in effect.
(d) Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.
(e) No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
(f) Notices to us. Notices must be in writing and sent to [email protected].
